Terms and Conditions

1. Scope of Applicability

1.1 These General Terms and Conditions of Sale (GTCS) apply to all sales of goods by us, regardless of any conflicting, contrary, or additional terms in any purchase order or other communication from you. No such terms shall be accepted by us unless expressly confirmed in writing.
1.2 We reserve the right to amend these GTCS at any time. Any changes will be posted on our website with thirty days' notice.

2. Offers, Purchase Orders, and Order Confirmations

2.1 All offers we make are valid for thirty calendar days from the date of issue, unless stated otherwise, and are subject to product availability.
2.2 Your purchase orders must specify at least the type and quantity of goods, delivery location, contact person, contact details, and requested delivery dates. No order will be binding unless confirmed by us in writing. 

3. Prices and Terms of Payment

3.1 Prices are as stated in our order confirmation and exclude taxes, customs, or other government-imposed charges.
3.2 Unless stated otherwise, payment for goods must be made in full before shipment (PREPAYMENT), without deduction or offset.
3.3 If you fail to pay within seven days of the due date, we may suspend or terminate the delivery of any outstanding orders after giving fourteen days' written notice. Interest of 2% per month will apply from the due date until full payment is made.
3.4 Ownership of delivered goods remains with us until fully paid for. If any invoice remains unpaid after fourteen days, we reserve the right to repossess the goods. You must insure the goods at full replacement value until ownership is transferred.

4. Terms of Delivery and Late Delivery

4.1 Unless otherwise stated, all deliveries are made [ex. works DK-5580] per Incoterms 2020. Risk of loss or damage passes to you according to the agreed delivery terms.
4.2 Delivery dates are as confirmed in our order. If we fail to deliver within seven days of the scheduled date, you may terminate the order by providing written notice within seven days of the grace period's expiration. You may also claim damages, limited by the liability provisions below.
4.3 We reserve the right to deliver in installments.

5. Acceptance of Goods

5.1 You must inspect goods upon receipt. You are deemed to accept goods unless you provide written notice of rejection, specifying reasons, within five days of delivery. 

6. Warranty

6.1 We warrant that, unless stated otherwise, all goods will conform to the manufacturer's specifications and be free of material defects for twenty-four months for upholstery products and sixty months for steel and basalt products. The warranty does not cover damage caused by misuse, negligence, lack of maintenance, accidents, or abuse.
6.2 For non-conforming goods, our liability is limited to either (i) refunding the purchase price, minus a usage deduction, (ii) repairing the goods, or (iii) replacing the goods, provided they are returned within fourteen days of discovering the defect with proof of purchase.
6.3 No other warranties, express or implied, are provided beyond what is specified here.

7. Intellectual Property Rights Infringement

7.1 If goods infringe third-party intellectual property rights, we will, at our expense, either (a) procure the right for you to use the goods, (b) replace them with non-infringing equivalents, (c) modify them to avoid infringement, or (d) refund the purchase price minus usage. This is our sole liability for intellectual property infringement.

8. Limitation of Liability

8.1 Neither party is liable for indirect, special, incidental, or consequential damages, such as lost profits, business interruption, or reputational harm. Your total recovery from us will not exceed the purchase price of the goods that gave rise to the claim.
8.2 We are not liable for any claims arising from compliance with your designs, specifications, or modifications made by third parties.

9. Processing of Personal Data

9.1 Unknown Nordic processes personal data in compliance with the General Data Protection Regulation (GDPR). Personal data (e.g., names, addresses) will be used only for order-related purposes or specific communications.
9.2 Unknown Nordic ensures compliance with data subject rights, including access, correction, deletion, and objection to data processing.
9.3 We will store data only as long as necessary for the purposes it was collected. We will not disclose or sell data without your consent.

10. Force Majeure

10.1 Neither party will be liable for delays or non-performance caused by events outside their control, such as natural disasters, wars, labor disputes, or other similar events. In such cases, obligations will be suspended for the duration of the interruption. If such events continue for more than thirty days, either party may terminate the contract with thirty days' written notice.

11. Miscellaneous

11.1 The United Nations Convention on Contracts for the International Sale of Goods does not apply to these GTCS.
11.2 Waiving any provision of these GTCS does not constitute a waiver of any other provision.
11.3 If any provision of these GTCS is found to be invalid or unenforceable, the remaining provisions will continue in full force.
11.4 These GTCS and all sales contracts are governed by Danish law. Any disputes will be resolved in Danish courts, though we reserve the right to bring claims in other jurisdictions if necessary.
